Non-Solicitation of Customers, Clients, and Employees

During the term of this Agreement and for two (2) years following its termination for any reason, both the Provider and MedBill Florida agree not to:

  • Induce clients or customers to do business with a competitor.
  • Disclose any client or customer details to third parties.
  • Solicit or hire employees, agents, or contractors of the other party.
  • Disparage the other party or its personnel.

Confidentiality

Each party agrees to maintain the confidentiality of all proprietary information exchanged during the course of the agreement, and not use it outside the scope of services provided.

Non-Competition

During the term and for one (1) year after termination, both parties agree not to:

  • Engage in or support a competing business.
  • Invest in or operate a competitive business entity.

Term and Termination

This Agreement begins upon signature and lasts one (1) year, renewing automatically unless notice is given 30 days before renewal. Termination may occur if a material breach goes uncured for 30 days or in cases of insolvency.

Use of Messaging Services

MedBill Florida messaging services allow communication with patients regarding payments, appointments, and updates. Providers authorize MedBill Florida to deliver these messages on their behalf in compliance with patient consent and privacy laws.

Provider Responsibilities

  • Ensure patient contact info is accurate and up-to-date.
  • Verify patients have agreed or can reasonably expect to receive such communications.
  • Comply with applicable privacy and consent regulations.

Data Protection and Confidentiality

MedBill Florida protects all shared data through:

  • HIPAA-compliant processes
  • Encryption in storage and transmission
  • Access control for authorized personnel only
  • No third-party data sharing without consent

Consent and Authorization

Providers using our services confirm they have secured patient consent to send messages and authorize MedBill Florida to communicate on their behalf.

Opt-Out Policy

Patients may opt out of future messages at any time by following instructions in the message. MedBill Florida will honor opt-outs immediately and notify the provider.

Limitation of Liability

MedBill Florida is not responsible for service disruptions caused by:

  • Incorrect provider-submitted information
  • Technical issues beyond our control
  • Provider failure to obtain consent

We are not liable for any incidental, indirect, or consequential damages resulting from use of the messaging platform.

Severability

If any clause in this agreement is deemed unenforceable, the remaining clauses shall remain valid and enforceable.

Governing Law and Venue

This Agreement shall be governed by the laws of the State of Florida. All legal disputes shall be resolved in courts located in Miami-Dade County, Florida.

Amendments

We may update these Terms and Conditions at any time. Updates will be published on our website, and continued use of our services implies agreement to the new terms.
